AgentKit Contributor Agreement

Version 1.0 · Effective

This Contributor Agreement ("Agreement") is between you ("you", the "Contributor") and the operator of AgentKit at agentkit.best ("AgentKit", "we", "us"). It governs your participation in the AgentKit Contributor Program (the "Program"). By checking the acceptance box and submitting an application you agree to this Agreement. If you do not agree, do not apply.

This Agreement supplements the AgentKit Terms of Service and Privacy Policy published on agentkit.best, which continue to apply. If this Agreement and the Terms of Service conflict on a Program matter, this Agreement controls for that matter.

1. Eligibility and application

You may apply only if you hold an AgentKit account that owns at least one AgentKit kit through a purchase or another entitlement we recognise (including eligible v1 and v2 purchases, gifts, team seats and admin grants), and you signed in with GitHub so that your GitHub account is identified by its immutable numeric ID.

Applying does not make you a Contributor. We review each application and may approve or reject it at our discretion. A rejected applicant may apply again later. You must be legally able to enter into this Agreement, and you must not apply on behalf of another person.

You must keep your account details accurate. Accounts that are merged, closed or found to be duplicates may lose eligibility.

2. Your contributions and the license you grant

"Contribution" means any code, tests, documentation, tutorial, skill, workflow, design, issue report, review comment or other material you submit to an AgentKit repository, product or community channel as part of the Program.

You keep the copyright in your Contributions. You grant AgentKit and its successors a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, reproduce, modify, prepare derivative works of, publicly display, publicly perform, sublicense and distribute your Contributions and such derivative works, in any product or form, commercial or not. You also grant a perpetual, worldwide, royalty-free patent license for any patent claims you can license that are necessarily infringed by your Contribution alone or combined with the work it was submitted to.

Every commit you contribute must carry a Developer Certificate of Origin sign-off line ("Signed-off-by: Your Name <email>", for example with `git commit -s`). The sign-off certifies, under the Developer Certificate of Origin 1.1, that you have the right to submit the work under this Agreement. Commits without a sign-off may be rejected or reverted.

You are not obliged to support your Contributions. Except as stated in this Agreement, Contributions are provided "as is", without warranties of any kind.

3. Originality and third-party material

You confirm that each Contribution is your original work, or that you have the right to submit it under this Agreement. If your employer or another party may have rights in your work, you confirm that you have their permission.

You must clearly identify any third-party material in a Contribution, including its source and license, and you must not submit material whose license is incompatible with the project you contribute to. AI-assisted work is allowed, but you remain responsible for its originality, licensing and correctness.

4. Confidentiality

Program membership may give you access to private repositories, unreleased products, roadmaps, internal discussions, customer reports and other non-public information ("Confidential Information"). You must use Confidential Information only to contribute to AgentKit, keep it confidential, and not publish, share, resell or use it to build a competing product.

These obligations continue after your membership ends, for as long as the information remains non-public. They do not apply to information that is or becomes public without your breach, or that you can show you received lawfully from someone else without a confidentiality duty.

If you find a security vulnerability, report it privately to support@agentkit.best and do not disclose it publicly until we have had a reasonable opportunity to fix it.

5. Secrets and personal data

You must never commit or post credentials, API keys, license keys, tokens, private keys, passwords, customer data or other personal data to any repository, issue, pull request or channel. If you expose a secret by mistake, tell us immediately so it can be rotated.

6. Repository access and write rules

Approved Contributors may be granted write access to designated AgentKit contribution repositories, linked to their verified GitHub numeric ID. Write access is a working permission for the Program, not ownership of, or unrestricted access to, any repository, product or infrastructure.

All changes must go through a pull request and pass the review required by the repository. You must not push directly to protected branches, bypass or weaken branch protection, CODEOWNERS or required checks, force-push to shared branches, merge your own unreviewed pull requests, or change repository settings, secrets or workflows to obtain additional access.

We may change, reduce or remove your repository access at any time to protect the projects. When your Contributor benefits end, the access granted because of your membership is revoked. Access you hold for another reason, such as a purchased license, is not affected. Code you cloned before revocation remains subject to section 4.

7. Conduct

You must act respectfully and in good faith with maintainers, customers and other contributors. Harassment, discrimination, spam, plagiarism, misleading claims about AgentKit, self-referral, fake accounts, manipulation of points or referral attribution, and any unlawful activity are prohibited.

When you promote AgentKit with your referral link you must disclose that you may earn a commission, follow the rules of the platforms you use, and not make promises on our behalf about pricing, features or results.

8. Contribution points and monthly tiers

Accepted Contributions earn points according to the scoring guide published on the Program page at the time the contribution is reviewed. Maintainers review each Contribution for quality, may apply a quality coefficient, may cap points per contribution type and month, and may reverse points for work that is reverted, duplicated or found to break this Agreement. Raw commit counts do not earn points.

At the end of each calendar month (UTC) we evaluate your verified points and your eligible attributed referral revenue for that month and set your tier for the following period. The provisional thresholds at the effective date of this version are:

Contributor: 40% referral commission, requiring at least 15 verified points.

Builder: 50% referral commission, requiring at least 50 verified points and at least US$1,000 of eligible attributed referral revenue in the month.

Core contributor: 60% referral commission, requiring at least 100 verified points and at least US$3,000 of eligible attributed referral revenue in the month.

Thresholds are provisional and may be adjusted by us with notice on the Program page. The commission rate that applies to a referral is the rate of your tier when the commission is created; it is recorded with that commission and does not change retroactively when your tier changes later. No rate, tier or threshold is promised permanently.

If a separately agreed custom partner rate applies to you, the higher of that rate and your Contributor tier rate is used. You never earn two commissions on the same order.

9. Commissions and payouts

Contributor commissions are referral commissions on eligible, net attributable sales made through your referral link or code. They are not wages or payment for Contributions, and you are not an employee, agent or partner of AgentKit.

Commissions follow the existing AgentKit referral program rules for attribution, holding periods, refunds, chargebacks, cancellations, minimum payout amounts, payout methods and payout information. A commission on an order that is refunded or charged back is cancelled. You are responsible for your own taxes.

There is no guaranteed income. Earnings depend entirely on eligible sales you refer.

10. Contributor update benefit

While your membership status is active or warning, you receive continuing kit updates for the AgentKit kits covered by the Program as a Contributor benefit.

If your status becomes suspended or removed, only this Contributor update benefit ends, from the time of that change. Versions you purchased, paid update windows and renewals, and your v1 or v2 legacy rights are never affected by your Contributor status.

11. Membership status, suspension and removal

Your status is reviewed monthly. A month in which you do not meet your current tier first places you in warning status; continued shortfalls lead to a downgrade to the tier you do meet. After 3 consecutive failing months in which you meet no tier, your membership is suspended. A suspended member may be reinstated by an admin.

We may suspend or remove a Contributor at any time for a breach of this Agreement, abuse, fraud, security risk or conduct that harms AgentKit, its customers or its community. Removal is decided by a person, not automatically. You may leave the Program at any time by contacting support.

When your membership ends: Contributor benefits stop, repository access granted through the Program is revoked, commissions already earned under the referral rules remain payable unless cancelled under those rules or because of fraud, and sections 2, 3, 4, 5 and 14 continue to apply.

12. Appeals

If you disagree with a scoring decision, a tier or status change, or a removal, email support@agentkit.best within 30 days of the decision with the reason and any evidence. A person who did not make the original decision will review the appeal and reply with the outcome. The outcome of the appeal is final within the Program.

13. Changes to this Agreement

We may update this Agreement. Each version has a version number and an effective date. We will give notice of material changes on the Program page or by email before they apply, and we may ask you to accept the new version to keep your membership. Your acceptance of each version is recorded with its version and a fingerprint of its text.

14. General

To the extent permitted by law, AgentKit's liability under this Agreement is limited as set out in the AgentKit Terms of Service. Governing law, dispute resolution and other general terms are those of the AgentKit Terms of Service.

If any part of this Agreement is unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver. You may not assign this Agreement; we may assign it to a successor of the AgentKit business. The English version of this Agreement controls over any translation.
